RALPH Karsten and Atma-Sphere Music Inc are in violation of the agreements that were signed as
part of the transaction that allowed Ralph to reacquire a controlling interest in Atma-Sphere
Music, Inc. As victims, we are in the process of instituting legal action to to enforce our rights
and to petition for the appropriate remedies . As part of that agreement that was signed by Mr.
Karsten:
The parties hereby acknowledge that Glacier will continue to serve as a dealer of Atma-Sphere
products following the date of this letter agreement. In connection with this dealer relationship,
Atma-Sphere hereby agrees to provide purchasers of Glacier’s existing stock of Atma-Sphere’s
products with a full manufacturer’s warranty provided that such products are sold on or prior to
December 31, 2005. Additionally, Atma-Sphere will provide Glacier with a (certain percentage
defined here) discount to stated retail price of all Atma-Sphere products purchased by Glacier
following the date of this letter agreement until the later of (i) December 31, 2008 or (ii) such
time as either Glacier or Atma-Sphere terminates the dealer relationship upon reasonable
advance notice.
